Agreement to terms
By creating an account or using SimplyHere, you agree to these Terms of Service and our Privacy Policy. If you do not agree, please do not use the app.
We may update these terms from time to time. If we make material changes, we will notify you through the app or via email at least 30 days before they take effect. Continued use after changes constitutes acceptance of the updated terms.
What SimplyHere is, and is not
SimplyHere is a mental health companion app that provides tools for daily check-ins, journaling, goal setting, working through hard thoughts, PHQ-9 and GAD-7 self-assessments, calm tools, and AI-assisted reflection. It is designed to support your wellbeing as a complementary tool.
SimplyHere is not a medical device. It is not a substitute for professional mental health care. It is not a crisis service, therapy, counseling, or medical treatment. It does not diagnose or treat any medical or mental health condition. The AI companion is not a licensed therapist and does not provide clinical advice. If you are in crisis or experiencing a medical emergency, please contact emergency services (911) or call or text 988 (Suicide and Crisis Lifeline, US).
Your account
You are responsible for maintaining the security of your account credentials. Please use a strong, unique password and consider enabling two-factor authentication. You must be at least 18 years old to use SimplyHere. You agree to provide accurate information when creating your account.
Provider portal accounts: Provider portal accounts require two-factor authentication. All providers must enable 2FA to access client information through the portal. This requirement protects the security of client data and is enforced automatically.
If you are using SimplyHere through an organization (referred to as "your group" within the app), your organization's administrator may manage your account status and view anonymized, aggregate engagement data. Organization administrators cannot access your individual health data, journal entries, chat messages, thoughts you work through, or other personal content. If you connect with a care provider, any provider access is controlled by the permissions you explicitly grant and can withdraw.
Subscription and payments
SimplyHere offers a free tier and a premium "supporter" subscription ($7.99/month or $79/year). The free tier includes daily check-ins, journaling, working through hard thoughts, goal setting, calm tools, your full story, data export, and AI chat up to a daily limit. The entire therapeutic core is free, forever.
Premium adds an expanded daily chat limit and the reflective extras: your Monthly Story and the year-end Book that builds across the year. Premium never gates anything you need to take care of yourself.
Subscriptions are billed through our payment processor (Stripe) or your app store. You can cancel at any time; cancellation takes effect at the end of your current billing period, and you keep premium access until then. We do not offer refunds for partial billing periods, but you may be eligible for a refund through your payment provider's policy.
If you are part of an organization that provides SimplyHere access, your subscription may be managed by your organization, whose terms will govern billing and access duration.
AI-generated content
SimplyHere uses AI to provide conversational support and to surface observations from your data. Your chat runs on OpenAI, which also performs a safety check on each chat message and generates the written reflections you read, such as your Monthly Story. Background observation and pattern-noticing run on Google Gemini through the Google Cloud Vertex AI platform. AI-generated content reflects patterns in your own data and general mental health knowledge. It is not clinical advice, not a claim about what works for you, and should not be used as a basis for medical decisions.
AI responses may occasionally be inaccurate, incomplete, or not appropriate for your specific situation. You should always use your own judgment and consult qualified professionals for medical, psychiatric, or therapeutic guidance. SimplyHere is not liable for any actions taken based on AI-generated content.
Your data and content
You retain ownership of all content you create in SimplyHere, including journal entries, check-ins, goals, thoughts you work through, assessments, and chat messages. We do not claim any intellectual property rights over your content.
You grant SimplyHere a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the service to you. This includes sending your messages to AI services for generating responses. This license terminates when you delete your account.
You can export all of your data at any time and permanently delete your account and all associated data through the app's Settings. See our Privacy Policy for full details on data handling.
Intellectual property
The SimplyHere app, including its design, code, features, branding, and documentation, is the intellectual property of SimplyHere and is protected by applicable copyright, trademark, and other intellectual property laws.
Your use of SimplyHere does not grant you any ownership rights in the app or its technology. You may not copy, modify, distribute, sell, or lease any part of the SimplyHere application, nor may you reverse-engineer or attempt to extract the source code, except as permitted by law.
Acceptable use
You agree not to:
- Attempt to access other users' accounts or data
- Use automated systems (bots, scrapers) to access or overload the service
- Reverse-engineer, decompile, or disassemble the application
- Use the service for any illegal purpose
- Attempt to circumvent security measures, rate limits, or access controls
- Misrepresent your identity or impersonate another person
- Upload malicious content or attempt to exploit the AI system
We reserve the right to suspend or terminate accounts that violate these terms.
Account termination
By you: You may delete your account at any time through Settings. To protect against an accidental or malicious deletion, your account first enters a short grace period (about 7 days), during which you can restore it using a link we email you. After that window, everything is permanently removed from SimplyHere, including all health data, chat history, and account information. Data already processed by our AI providers is governed by their data terms.
By us: We reserve the right to suspend or terminate your account if you violate these Terms of Service, engage in abusive behavior, or use the service in a manner that threatens the security or integrity of the platform or other users' data. If we terminate your account, we will provide notice and an opportunity to export your data where reasonably possible, unless the termination is due to a serious violation requiring immediate action.
Service availability
We strive to keep SimplyHere available 24/7, but we do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. AI features depend on third-party services (OpenAI and Google) and may occasionally be unavailable.
We reserve the right to modify, suspend, or discontinue any part of the service at any time. If we discontinue the service entirely, we will provide at least 60 days' notice and the ability to export your data.
Limitation of liability
SimplyHere is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, SimplyHere and its creators, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. This includes, but is not limited to, any decisions made based on AI-generated content, any reliance on information provided by the app, or any interruption of service.
Our total cumulative liability to you for all claims arising from or related to SimplyHere shall not exceed the amount you have paid us in the 12 months preceding the claim, or $50, whichever is greater.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
Any disputes arising from these terms or your use of SimplyHere will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Texas or, at your election, may be conducted remotely.
You agree that any dispute resolution will be conducted on an individual basis and not as part of a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
Changes to these terms
We may update these Terms of Service from time to time. If we make material changes, we will notify you through the app or via email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the updated terms. If you do not agree to the updated terms, you should stop using SimplyHere and delete your account.
