Agreement to terms

By creating an account or using SimplyHere, you agree to these Terms of Service and our Privacy Policy. If you do not agree, please do not use the app. These terms are effective as of March 29, 2026.

We may update these terms from time to time. If we make material changes, we will notify you through the app or via email at least 30 days before they take effect. Continued use after changes constitutes acceptance of the updated terms.

What SimplyHere is — and is not

SimplyHere is a wellness companion app that provides tools for daily check-ins, journaling, goal setting, untangle exercises, PHQ-9 and GAD-7 self-assessments, sleep diary, and AI-assisted reflection. It is designed to support your mental wellbeing as a complementary tool.

SimplyHere is not a medical device. It is not a substitute for professional mental health care. It is not a crisis service, therapy, counseling, or medical treatment. It does not diagnose or treat any medical or mental health condition. The AI companion is not a licensed therapist and does not provide clinical advice. If you are in crisis or experiencing a medical emergency, please contact emergency services (911) or use the resources on our Crisis Support page.

Your account

You are responsible for maintaining the security of your account credentials. Please use a strong, unique password and consider enabling two-factor authentication. You must be at least 13 years old to use SimplyHere, or at least 16 years old if you are located in the European Economic Area. You agree to provide accurate information when creating your account.

Provider portal accounts: Provider portal accounts require two-factor authentication. All providers must enable 2FA to access client information through the portal. This requirement exists to protect the security of client data and is enforced automatically — providers who have not enabled 2FA will be unable to access portal features until it is configured.

If you are using SimplyHere through an organization (referred to as "your group" within the app) such as a university or health system, your organization's administrator may have the ability to manage your account status and view anonymized, aggregate engagement data. They cannot access your individual wellness data, journal entries, chat messages, untangle entries, or any other personal content — this data is encrypted and inaccessible to anyone other than you. Your organization's specific data access terms will be provided separately during onboarding.

Subscription and payments

SimplyHere offers both a free tier and a premium subscription ($7.99/month or annual equivalent). The free tier includes daily check-ins, journaling, untangle exercises, goal setting, wisdom notes, calm tools, and limited AI chat messages per day. Premium unlocks expanded AI conversations, advanced insights, monthly reports, session preparation notes, share my progress, AI-powered nudges, mood correlations, data export, and future features as they become available.

Subscriptions are billed monthly or annually through your app store (Apple App Store or Google Play). You can cancel your subscription at any time through your app store's subscription management settings. Cancellation takes effect at the end of your current billing period — you will retain premium access until then. We do not offer refunds for partial billing periods, but you may be eligible for a refund through your app store's refund policy.

If you are part of an organization that provides SimplyHere access, your subscription may be managed by your organization. In that case, your organization's terms will govern billing and access duration.

AI-generated content

SimplyHere uses artificial intelligence (Google Gemini via the Google Cloud Vertex AI platform) to provide conversational support, generate insights from your mood and journaling data, detect patterns in your untangle entries, and create personalized nudges and session preparation summaries. AI-generated content is based on patterns in your data and general mental health knowledge — it is not clinical advice and should not be used as a basis for medical decisions.

AI responses may occasionally be inaccurate, incomplete, or not appropriate for your specific situation. You should always use your own judgment and consult qualified professionals for medical, psychiatric, or therapeutic guidance. SimplyHere is not liable for any actions taken based on AI-generated content.

Your data and content

You retain ownership of all content you create in SimplyHere, including journal entries, check-ins, goals, untangle entries, assessments, sleep diary entries, and chat messages. We do not claim any intellectual property rights over your content.

You grant SimplyHere a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the service to you. This includes sending your messages to AI services for generating responses. This license terminates when you delete your account.

You can export all your data at any time and permanently delete your account and all associated data through the app's Settings page. See our Privacy Policy for full details on data handling.

Intellectual property

The SimplyHere app, including its design, code, features, branding, and documentation, is the intellectual property of SimplyHere and is protected by applicable copyright, trademark, and other intellectual property laws.

Your use of SimplyHere does not grant you any ownership rights in the app or its technology. You may not copy, modify, distribute, sell, or lease any part of the SimplyHere application, nor may you reverse-engineer or attempt to extract the source code, except as permitted by law.

Account termination

By you: You may delete your account at any time through Settings → Delete my account. Upon deletion, all your data is permanently and irreversibly removed from our systems, including all wellness data, chat history, and account information.

By us: We reserve the right to suspend or terminate your account if you violate these Terms of Service, engage in abusive behavior, or use the service in a manner that threatens the security or integrity of the platform or other users' data. If we terminate your account, we will provide you with notice and an opportunity to export your data where reasonably possible, unless the termination is due to a serious violation requiring immediate action.

Service availability

We strive to keep SimplyHere available 24/7, but we do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. AI features depend on third-party services (Google Gemini) and may occasionally be unavailable.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. If we discontinue the service entirely, we will provide at least 60 days' notice and the ability to export your data.

Limitation of liability

SimplyHere is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, SimplyHere and its creators, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. This includes, but is not limited to, any decisions made based on AI-generated content, any reliance on information provided by the app, or any interruption of service.

Our total cumulative liability to you for all claims arising from or related to SimplyHere shall not exceed the amount you have paid us in the 12 months preceding the claim, or $50, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any disputes arising from these terms or your use of SimplyHere will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Texas or, at your election, may be conducted remotely.

You agree that any dispute resolution will be conducted on an individual basis and not as part of a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

Changes to these terms

We may update these Terms of Service from time to time. If we make material changes, we will notify you through the app or via email at least 30 days before they take effect. Continued use of SimplyHere after the effective date of changes constitutes acceptance of the updated terms. If you do not agree to the updated terms, you should stop using SimplyHere and delete your account.
